Jennifer M. Becker is an associate in the Business Section, where she works on a broad range of general business and corporate matters. Jennifer counsels clients on matters involving capital raising; sales, mergers and acquisitions; regulatory compliance; employment law issues; and estate planning and wealth preservation. Jennifer's practice also includes securities, broker dealer, and investment advisor regulation as well as assisting in the representation of issuers in private securities offerings.

Relevant Experience:

  • Represented a private investment fund in a multi-million dollar private securities placement and advised the fund on securities compliance and strategic negotiations with a majority investor.
  • Represented a growing company in the strategic acquisition of target companies and the corporate reorganization and consolidation of a number of subsidiaries.
  • Assisted in the representation of financial institutions in the purchase of loan portfolios.
  • Routinely counsels businesses and employees regarding various employment matters, including:
    • drafting and negotiating restrictive covenants, including confidentiality, non-competition, customer and client non-solicitation, and employee non-raiding provisions;
    • structuring equity incentive plans;
    • compliance with recordkeeping, wage and hour regulations and employee classification under the Fair Labor Standards Act (FLSA);
    • compliance with leave, health benefit and reinstatement regulations under the Family and Medical Leave Act (FMLA);
    • compliance with the Age Discrimination in Employment Act (ADEA);
    • compliance with health insurance continuation coverage under the Consolidated Omnibus Budget Reconciliation Act (COBRA) and premium subsidy under the American Recovery and Reinvestment Act (ARRA); and
    • drafting and negotiating employment agreements and separation agreements.
