Andrew M. Lohmann is a Shareholder in the firm and co-chairman of the firm's Mergers & Acquisitions practice group. His practice focuses principally on mergers and acquisitions, general corporate and commercial law, franchise law, employment law, business formation, and Employee Stock Ownership Plans ("ESOPs").

Relevant Experience:

  • Representative merger and acquisitions transactions:
    • Served as counsel to an ESOP-owned industrial water treatment chemical company in a $435,000,000 stock sale to a public company buyer. Sale was structured as a part sale/part redemption of minority shareholders and involved expertise in ESOP area.
    • Represented the shareholders of a closely-held power distribution equipment manufacturer in the sale of all of the outstanding stock in the company to a private equity fund.
    • Represented a private equity fund and one of its operating companies in the purchase of all of the outstanding stock in a transformer manufacturing business.
    • Represented an ESOP-family holding company in the purchase of all of the outstanding stock of a closely-held government contractor road construction company. Sale was structured as a tax-efficient part redemption/part stock sale.
    • Represented closely-held government contractor involved in development of global position system technology in sale of substantially all of its assets to public company buyer. Transaction involved novation of various government contracts.
  • Represented S-corporation ESOP company in initial $10,300,000 stock acquisition by leveraged ESOP.
  • Represented a multi-family residential complex in a multimillion dollar refinancing with Freddie Mac.
  • Achieved and administered a global workout with the creditors of a Richmond-based corporation and oversaw the liquidation of said corporation.
  • Routinely counsel businesses regarding a variety of employment law issues, including preparation of employment agreements, employee handbooks, and employment separation agreements.
  • Counsel ESOP companies with respect to general corporate and ESOP administration matters.
  • Provide ongoing general representation for clients in various industries, including technology, manufacturing, and construction.
