We routinely advise federal- and state-registered investment advisory clients on compliance issues that arise in their day-to-day operations, including those related to custody of client assets, agency cross transactions, advertising and conflicts of interest practices and disclosures. We also represent advisors in drafting both form and customized investment advisory agreements with their clients and developing "Plain English" Form ADV Part 2 disclosures.

We have been active in assisting investment advisory clients considering business combinations and acquisitions. Similarly, we have advised investment professionals transitioning between advisory firms. We often counsel advisory firms regarding compensation arrangements with key personnel, including sharing of carried interest and other profit sharing arrangements. A related expertise is our work in the alternative investment space. We have helped numerous registered and non-registered investment managers in the formation and operation of alternative investment funds. Our experience ranges from multi-strategy fund of funds to funds with specialized investment strategies in asset classes from real estate and natural resources to commodities pools and traditional long-short equity. We have also worked with special investor arrangements, including co-investment funds, separately managed client accounts and client investments in the manager. We have negotiated numerous side letters for fund managers and institutional investors.

We also have experience with offshore blocker and feeder structures favored by tax-exempt and foreign investors in these funds. Our contacts with regulators at both the federal and state level assist us in helping these fund managers meet their capital raising objectives more efficiently. We also enjoy strong relationships with accountants, administrators, third-party marketing firms and consultants serving the fund industry.

For venture capital, private equity and real estate funds, our representation also includes representing the funds in their acquisition and disposition of portfolio assets. In these transactions, we often enlist the services of other Hirschler Fleischer attorneys with specialized expertise in mergers and acquisition or real estate law.
